On August 2, 2011, the analyst research firm Glaucus Research issued a report alleging, among other things, that the Company failed to disclose that: (1) there were significant internal control deficiencies within the Company; (2) the Company’s 2009 financial statements filed with Chinese authorities were much worse than the Company’s financial statements filed during the same period with the Securities and Exchange Commission (“SEC”); and (3) certain of L&L’s operating subsidiaries were not listed under the Company’s name.

On July 29, 2011, L&L’s independent auditor presented L&L’s board with an adverse opinion regarding the Company’s internal controls over financial reporting. As a result, the Company’s shares fell nearly 16% on August 1, 2011.
